We guide business owners through their most important transactions.
Company sale, succession, raising growth capital or going public. For over 20 years we have been part of these processes on both sides of the table – as entrepreneurs, M&A advisers and fund managers. We work primarily with companies generating revenues above PLN 10 million a year.

Where does your transaction begin?
Not every transaction starts with a decision already made. Sometimes an investor appears, sometimes capital is needed, and sometimes the question is simply what comes next for the business.
“I have received an offer to buy my company.”
The buyer knows the process and usually has experienced advisers on their side. We help you assess the offer, prepare for talks and negotiate the terms of the transaction.
I have received an offer →“I want to sell my company but don’t know where to start.”
We help you establish the value of your business, prepare it for the process, find the right buyers and run negotiations through to closing.
“There is no one to hand the company over to.”
We help you work through the possible succession scenarios – from passing the company on within the family to a partial or full sale to an investor.
“I need capital to grow.”
We help you choose the right solution and raise an investor, debt financing or capital from the public market.

A transaction is far more than legal documentation.
How the process works →We run the whole process, not just the paperwork.
The value of a transaction is determined by what happens before the agreement is signed: preparing the company, valuation, investor selection, competition between offers and negotiating the terms. Legal support is one element of the process, not its backbone.
Partners work on each project personally.
We operate as a boutique and run a limited number of projects at any one time. We do not hand clients over to a team of juniors.
We take on the processes we believe in.
A significant part of our fee depends on the transaction succeeding. Before we start, we assess the company’s readiness and how realistic the objectives are – and if the time is not yet right, we say so directly.

vc.prometeia.plAnswers to the questions we hear most often.
We work mainly with companies generating revenues of at least PLN 10–20 million, but size alone does not determine whether a transaction is feasible. Profitability, growth prospects, market position, technology and potential investor interest all matter as well. When raising capital we also work with younger companies, provided they have sufficient ambition and a credible growth model.
Basic information about your business, its results, ownership structure and the goal you want to achieve is enough to begin. We do not expect an elaborate presentation or complete documentation. The first conversation is primarily about establishing whether and how we can help, and what should be prepared before the actual process begins. Everything you share with us is treated as confidential, and we maintain discretion at every stage of our work together.
Every process is led directly by PROMETEIA partners – from analysing the company and preparing the strategy, through investor conversations, to negotiations and closing. We operate as a boutique. We deliberately avoid building a large structure in which experienced advisers win the client and then hand the project over to a less experienced team. We run a limited number of processes at any one time. As a result, the people whose expertise led you to choose PROMETEIA are the ones actually working on your transaction.
No. Before taking on a mandate we assess the company’s readiness, the owners’ objectives, likely investor interest and whether, with our involvement, there is a realistic chance of running a good process. If the business still needs preparation, if the owner’s expectations are difficult to meet, or if we do not see sufficient grounds to act effectively, we will say so directly. We would rather decline, or suggest returning to the conversation later, than spend months running a process whose prospects we ourselves do not believe in.
A retainer or hourly billing covers the work of preparing and running the process. Justified third-party costs are incurred only with the client’s prior agreement. The substantial part of our remuneration takes the form of a success fee payable on closing. This structure aligns our interests with those of the client. We do not earn on the sheer number of analyses, messages sent or meetings held.
We are not limited to a single industry, but that does not mean we run every transaction to the same template. A manufacturer, a SaaS business and a services company each require a different approach to analysing results, valuation, investor selection and presenting the potential of the business. Before accepting a mandate we need to understand the business model, sources of competitive advantage, risks and the specifics of the sector. Where a project calls for specialist technical or industry knowledge, we work with the relevant experts.
Let’s talk about your company.
The first conversation is confidential and comes with no obligation. An hour is usually enough for us to tell you where you stand.
